Terms of Use

1. About Sweep

Sweep is a non-custodial tool that provides an interface for consolidating multiple tokens into a single asset (or multiple assets) by routing transactions through third-party decentralized exchanges and liquidity protocols across multiple blockchain networks.

Sweep does not hold, store, or control your digital assets at any point. All transactions are executed directly on-chain via smart contracts. We are not a party to any transaction you execute — we provide an interface, not a financial service.

The Services (the interface we provide) are distinct from the underlying smart contracts and third-party protocols they interact with. We do not control those protocols and are not responsible for their operation.

2. Eligibility

By using the Services, you represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into a binding agreement
• You are not located in, incorporated in, or a resident of any jurisdiction subject to comprehensive international sanctions or trade embargoes imposed by the United States, the European Union, the United Nations, or other applicable authorities
• You are not listed on any sanctions list, including but not limited to the OFAC Specially Designated Nationals list or any equivalent list maintained by applicable authorities
• You are not using the Services on behalf of any sanctioned person or entity
• Your use of the Services complies with all laws and regulations applicable in your jurisdiction
• You are not using a VPN or other means to circumvent geographic restrictions

We reserve the right to restrict access to the Services at any time for any user we reasonably believe does not meet these requirements.

3. Assumption of Risk

By using the Services, you acknowledge and accept the following risks:

Volatility and financial loss. Digital assets are highly volatile. You may lose some or all of the value of your assets. We make no guarantees regarding the outcome of any transaction.

Slippage and execution. Token swap prices are subject to market conditions and may differ from displayed estimates. Slippage, failed transactions, and unfavorable rates are inherent risks of decentralized trading.

Smart contract risk. The Services interact with third-party smart contracts. Smart contracts may contain bugs, vulnerabilities, or behave unexpectedly. We do not audit or guarantee the security of any third-party contracts.

Third-party protocol risk. We route transactions through third-party decentralized exchanges and liquidity protocols. We do not control these protocols and are not responsible for their availability, reliability, or performance.

Irreversibility. All blockchain transactions are final and irreversible. Errors cannot be corrected by us.

Regulatory risk. The regulatory treatment of digital assets and DeFi protocols is evolving and uncertain across jurisdictions. Changes in law or regulation may affect your ability to use the Services or the value of your assets.

Network fees. You are responsible for all gas fees and network transaction costs. These fees are paid to blockchain validators, not to us, and are non-refundable regardless of transaction outcome.

4. No Financial Advice

Nothing in the Services constitutes financial, investment, legal, or tax advice. We are not a broker, dealer, financial advisor, or investment manager. We do not have a fiduciary relationship with you. You are solely responsible for evaluating the risks and merits of any transaction you execute using the Services. We strongly recommend consulting a qualified professional before making financial decisions.

5. Your Wallet and Private Keys

The Services are non-custodial. We do not have access to your private keys, seed phrases, or digital assets at any time. You are solely responsible for:

• The security of your wallet and private keys
• All transactions you authorize
• Any losses resulting from unauthorized access to your wallet

Never share your private keys or seed phrase with anyone. We will never ask for them.

6. Third-Party Services

The Services interact with third-party decentralized protocols, liquidity sources, and routing providers. These third parties operate independently and are subject to their own terms and conditions. We do not endorse, control, or guarantee the performance of any third-party service. Your use of third-party services is at your own risk.

We also integrate third-party wallet providers. Compatibility with a wallet does not constitute our endorsement of that wallet or its provider.

7. Prohibited Use

You agree not to use the Services to:

• Violate any applicable laws or regulations
• Engage in money laundering, terrorist financing, or any other illegal financial activity
• Circumvent sanctions or export controls
• Use automated tools, bots, or scripts to interact with the Services without our prior written consent
• Use a VPN or proxy to bypass geographic or access restrictions
• Interfere with or disrupt the Services or any connected systems
• Engage in any activity that could harm other users or the integrity of the Services

Violation of these prohibitions may result in immediate termination of your access and may be reported to relevant authorities.

8. Intellectual Property

All intellectual property rights in the Services, including but not limited to the Sweep name, logo, website design, and software, are owned by or licensed to us. Your use of the Services does not grant you any ownership rights. You may not copy, modify, distribute, or create derivative works based on the Services without our prior written consent.

9. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components. We reserve the right to modify, suspend, or discontinue the Services at any time without notice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF FUNDS, LOSS OF PROFITS, OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

Our total liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed $100 USD.

This limitation applies regardless of the legal theory under which such damages are sought and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sweep and its team members, contributors, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Services
• Your violation of these Terms
• Your violation of any applicable law or the rights of any third party

12. Changes to These Terms

We may update these Terms at any time. Changes will be effective upon posting to the Services with an updated date. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.

13. Termination

We reserve the right to restrict or terminate your access to the Services at any time, for any reason, without notice. All provisions of these Terms that by their nature should survive termination shall survive, including Sections 3, 4, 9, 10, and 11.

14. Fees

Using the Services may involve the following costs:

Network fees. All blockchain transactions require gas fees paid to network validators. These fees are not collected by Sweep and are non-refundable regardless of transaction outcome.

Interface fee. Sweep charges a 0.3% fee on each swap executed through the Services. This fee is applied on top of any third-party protocol fees and is collected automatically at the time of transaction execution. By using the Services, you acknowledge and agree to this fee structure.

15. Dispute Resolution

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services ("Dispute") shall be resolved as follows:

Informal resolution. Before initiating any formal proceeding, you agree to contact us at trysweepbusiness@gmail.com and attempt to resolve the Dispute informally for at least 30 days.

Binding arbitration. If the Dispute cannot be resolved informally, it shall be finally resolved by binding arbitration administered by the London Court of International Arbitration (LCIA) under its rules. The arbitration shall be conducted in English by a single arbitrator. The proceedings shall be confidential.

Individual basis only. All Disputes must be brought on an individual basis. You waive any right to participate in class action lawsuits or class-wide arbitration.

Exceptions. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction for disputes involving intellectual property rights.

16. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising out of or relating to these Terms or the Services shall be resolved on an individual basis and not as part of any class action or collective proceeding.

17. Taxes

You are solely responsible for determining and paying any taxes applicable to your use of the Services and any transactions you execute. We do not provide tax advice and make no representations regarding the tax treatment of digital asset transactions.
